To sell a wholesale food distribution business, start with the operating details. New Orleans Business Brokers Base connects owners with an independent valuation partner.
Start with usable inventory
Separate saleable stock from expired, damaged or slow moving goods. Agree how inventory will be counted, valued and adjusted at closing.
A large warehouse balance does not guarantee a larger business value. Excess stock can absorb cash and make acquisition financing harder.
Explain customer and supplier concentration
Show revenue and gross margin by anonymous customer group. A buyer will test how much earnings depend on a few accounts or on purchasing terms negotiated personally by you.
Review assignment and change of control provisions in major agreements. Get advice before contacting customers or suppliers about a sale that has not closed.
Tie fleet and facilities to the price
List owned and leased vehicles, refrigeration assets and storage agreements. Identify upcoming repairs that affect the buyer cash needs.
Model seasonal stock purchases and receivable collection. A working capital target should reflect normal operation, not simply the lowest balance available before closing.
